TERMS AND CONDITIONS

INSIDE FRANCHISING TRAVELSCENE AMERICAN EXPRESS "FRANCHISEE OF THE SERIES" COMPETITION

•  Information on how to enter this Competition forms part of these Terms and Conditions.

•  The promoter is Inside Franchising Pty Ltd (ABN 41 114 155 663) of PO Box 472, Capalaba Queensland ('Inside Franchising').

•  The sponsor is Travelscene American Express trading as Travelscene Holidays Pty Ltd ('Travelscene American Express').

•  Entry is open to Australian franchisee's aged 18 years and over. Each Franchisee is entitled to only one entry. Employees (or contractors), members (and their employees), and immediate family members of Inside Franchising and Travelscene American Express are ineligible to enter.

•  The Competition commences at 8.00am on 8 January 2006 and closes at 5.00pm EST on 12 March 2006 ('the Competition Period'). Any Competition entries received after the Competition Period will not be included in the judging and no responsibility will be accepted for lost, late or misdirected entries.

•  To enter this competition you need to:

•  Watch the "Inside Franchising" TV programme aired on Channel 10 (or local equivalent); and

•  Visit the Inside Franchising page at http://www.insidefranchising.com.au and download the relevant entry form; and

•  During the Competition Period, send the completed entry form answering this question " Please tell us the three key ways your franchise has contributed to your local community ", together with all fully completed supporting documentation (including up to 3 images) to Inside Franchising via email to travelscenecomp@insidefranchising.com.au . Entries will only be accepted via email.

•  Travelscene American Express agrees to provide the prize (valued at $12,670.00 as at 8 January 2005) which includes:

•  Return business class air travel with Royal Brunei from Perth, Darwin, Brisbane or Sydney to Kota Kinabalu, Sabah for 2 adults.

•  Return airport/resort transfers.

•  4 nights twin share accommodation in a Tanjung Deluxe Room, at the deluxe (5 star) resort, Shangri La Tanjung Aru in Kota Kinabalu.

•  The prize excludes (these must be paid for by the winners):

•  All relevant and mandatory airport taxes;

•  Any flights to and from the offered destination of Kota Kinabalu in addition to the flights in clause 7(a), if desired by the traveller;

•  Additional nights if desired by the traveller;

•  Travel insurance;

•  Travel to and from Australian departure point; and

•  Additional expenses incurred including but not limited to baggage charges, excess baggage charges, all meals and beverages, passport, visa charges if required, items of a personal nature such as laundry, personal baggage insurance, telephone calls, and other spending money etc.

•  The prize is not transferable, exchangeable or redeemable for cash.

•  The prize must be taken 100% with Travelscene Holidays Pty Ltd.

•  The prize must be booked, travelled and completed between March 2006 and September 2006. It is important to note that the holiday cannot be taken during high season or traditional peak periods including school holidays. Black outs may apply.

•  Booking is subject to flight and accommodation availability. The winner must provide Inside Franchising with 3 preferred travel dates.

•  A minimum of 30 working days prior to the proposed departure is required to process this prize.

•  A selected representative from BRW magazine will judge the Competition. The judging will be conducted at 12 noon EST on 14 March 2006 at the BRW Office in Melbourne, Australia.

•  The winner will be the entrant considered by the judge to be the best franchisee, having regard to the creativity demonstrated by the entrant and the contribution made by the entrant's franchisee to its local community. The judges' decision in relation to any aspect of the Competition is final and binding on each entrant. Chance plays no part in determining the winner. Inside Franchising and/or Travelscene American Express will not enter into any correspondence in relation to the prize, the Competition or its judging.

•  The winner will be notified by mail within 4 days from the completion of the judging. The winner's name will be published in the Public Notices section of The Australian Newspaper on 21 April 2005. The winner must claim his/her prize within 7 days of receiving notification.

•  In the event that a winner does not claim the prize within 7 days, it will be deemed, without further notice, that the winner wishes to forfeit his/her prize. In this instance, Inside Franchising reserves the right to award the prize to another entrant.

•  In the event that the winner does not take the prize by 12.00 pm EST on 30 September 2006, the winner will forfeit the entire prize and cash will not be awarded in lieu.

•  By entering the competition, and by claiming the prize, the winner acknowledges and accepts that travel is inherently dangerous and may result in death, injury, incapacity, damage to property or other losses. The winner, for themselves and their executors, releases and indemnifies Inside Franchising and Travelscene American Express , and their agents, officers and employees, in relation to any and all legal claims in connection with any death, injury, incapacity, damage to property or other losses arising from or connected with the collection or enjoyment of the prize, including in any way connected with any act or omission (including negligence) by the winner or any breach by the winner of these terms and conditions.

•  The winner must provide all necessary information required by Travelscene. Inside Franchising collects entrants' personal information in order to conduct the Competition and notify winners. If the information requested is not provided, the entrant may not participate in the Competition.

•  By partaking in this competition, you consent to the collection, use and/or disclosure of information provided by you for internal research, and current and future promotional, advertising and marketing activities of Inside Franchising and Travelscene American Express and its associates and for Inside Franchising and Travelscene American Express and its associates to contact you and send mail, in person, email, sms and any other form of communication medium.

•  The winner may be liable to declare the prize for taxation purposes and will be liable for any tax payable in respect of a prize. The winner should seek independent financial advice in relation to any tax payable on the prize.

•  By entering the Competition, entrants grant to Inside Franchising and Travelscene American Express, a worldwide, perpetual, irrevocable and exclusive licence to reproduce, modify, adapt, translate, display, publicly perform, broadcast, edit, publish, make derivative works from, sell and distribute, and for inside Franchising and Travelscene American Express to sublicense or authorise someone else to do the same, the information provided by you on your entry form, in any medium now in existence or later developed.

•  Neither Inside Franchising nor Travelscene Amercian Express is obliged to make any payment of any sum to you (royalty or otherwise) in the event that either uses your information for commercial purposes. Nor are either required to acknowledge you as the source or subject of this information.

•  If for any reason this competition is not capable of running as planned including by reason of infection by computer virus, line drop out, bugs, tampering, unauthorised intervention, fraud, technical failures or any other causes beyond the control of Inside Franchising and/or Travelscene American Express which corrupts or affects the administration security, fairness, integrity or proper conduct of this promotion, Inside Franchising reserves the right to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the promotion. Inside Franchising is not responsible for any problems or technical malfunction of any network, computer online systems, servers, or providers, computer equipment or software resulting from participation or sending or receiving of any communication or of any materials in this competition.

•  Nothing in these terms and conditions is intended to exclude, restrict or modify the application of the Corporations Act 2001 and the Trade Practices Act 1974 or any equivalent State or Territory legislation.

•  To the extent it is legally possible, this agreement is governed by the laws of Queensland, Australia, and the parties submit to the jurisdiction of the courts of Queensland, Australia.
